1. How The Program Works

Our referral program allows you to earn rewards by inviting others to experience MediDuce Weightloss and Wellness Weightloss Programs. Once you sign up for the program, you will receive a unique referral link that you can share via social media, email, or SMS. For every person who signs up and purchases a weight loss program through your referral link, you will earn a $50 cash bonus. The program is designed to reward you for helping us reach more people who can benefit from our services.

2. A Referral Is

A successful referral is defined as an individual who signs up for our referral program through your unique link and subsequently purchases a weight loss program from MediDuce Weightloss and Wellness. A referral is only considered successful if the purchase is completed and not canceled or disputed. Referrals that do not result in a purchase, or that are canceled, do not qualify for the cash bonus.

3. Rewards And Offers

For each successful referral, you will receive a $50 cash bonus. This reward is given for each individual who makes a purchase of our weight loss program through your referral link. There is no limit to the number of referrals you can make, meaning you can earn multiple rewards based on the number of successful referrals you generate.

4. Issuing Of Rewards And Offers

Rewards will be issued at the end of each month. Once the referral is confirmed and the purchase is completed, your reward will be processed and sent to your preferred payment platform (PayPal, Wise, Venmo, etc.). Please ensure that your payment details are accurate to avoid delays in receiving your rewards.

5. Privacy

All personal information collected and processed as part of this Referral Program will be used in accordance with MediDuce Weightloss and Wellness’s Privacy Policy, available on our website. Under the applicable laws and regulations, MediDuce Weightloss and Wellness shall be responsible for collecting and processing such personal information.

6. General

These Referral Terms are published by MediDuce Weightloss and Wellness (“we,” “us,” and “our”). Our Referral Program and these Terms form a binding agreement for both Referring Users (“you” or “your(s)”) and people who receive our referral invitation.

7. Completed Referrals and Limit

7.1. A Completed Referral is when a Referring User refers this Program to one of their contacts. Subsequently, that contact will either sign up, make a purchase, or complete whatever action is determined as a referral above, which is not canceled or disputed in accordance with Subsection 3.

7.2. A limit to the number of referrals by Referring Users may apply, or we may specify a maximum number of Completed Referrals eligible for the benefits of this Program.

7.3. All referred individuals must be new and first-time Users. Existing Users cannot participate in and benefit from the Referral Program.

7.4. You represent that all personal information provided is 100% correct and up-to-date. We may monitor your use of the Referral Program or request your ID to verify your identity before issuing rewards.

8. Restrictions

8.1. This Program cannot be combined with other MediDuce Weightloss and Wellness referral programs, discounts, vouchers, benefits, or incentives. By participating in this Referral Program, we may restrict you from any other promotion, program, discount, or vouchers.

8.2. You understand and agree that you must not use referral methods that are bothersome to the recipients. Moreover, your participation in the Referral Program must not violate applicable laws, including but not limited to anti-spam legislation, which includes the mass distribution of unsolicited messages.

8.3. You must not publish our Referral Program on any sites or platforms that house any Adult Content, Alcohol, Tobacco, Gambling, Games and Online Casinos, Political Content, or any form of illegal activities.

9. Term and Termination

9.1. This Referral Program will run until the announced date, and that date can be extended or restricted. We may also, in our sole discretion, notify Users that the Referral Program has ended with immediate effect.

9.2. Any referral made before the end of the Referral Program can still participate. However, we may exclude referrals, in our sole discretion, made after its termination date.

9.3. We may terminate this Referral Program at any time, including your participation or the availability of its benefits.

10. Exclusive Relationship

10.1. You understand and agree that you are only the User of our services and/or products and refrain from implying any other affiliation or legal relationship with us.

10.2. You understand and agree that you are never authorized to legally bind our company.

10.3. You must never create any materials that contain our branding, trademark, or part of our corporate identity.

10.4. By participating in the Referral Program, you must not represent yourself as a duplicate, agent, or intermediary of our company.

11. Privacy and Information

11.1. You undertake to respect the privacy rights of the people you invite to our Referral Program and direct them to our website.

11.2. When referring other people, you must always inform them about the applicable terms and conditions and privacy policy. You must do so before they participate in the Referral Program and leave their personal information.

12. Amendments

We may amend the terms and conditions of our Referral Program. We may offer and/or restrict additional incentives, benefits, and programs. As a result, additional terms may apply. You agree that you are aware of those amended and additional terms.

13. Violations and Termination

13.1. In case we suspect any violations of these terms or otherwise tampering with fraud, or unreasonable use of our Referral Program, we may, in our sole discretion, cancel the distribution of any discount, benefit, or payout.

13.2. You must comply with all applicable laws and regulations and refrain from violating any third-party rights. These rights include any copyright, trademark, or other proprietary rights.

14. Disclaimer and Indemnification

14.1. We offer our Referral Program and its benefits only on an “as is” and “as available” basis. We may remove, change, and update the Referral Program at our sole discretion. We disclaim our responsibility for any information that is incorrect or has errors.

14.2. Our Referral Program is based on our best efforts. You acknowledge and agree that we can never guarantee any benefit or result from participating in the Referral Program.

14.3. You will defend, indemnify, and hold MediDuce Weightloss and Wellness harmless from and against all claims, damages, liabilities, losses, expenses, and costs (including reasonable attorneys' fees) arising out of your participation in the Referral Program.

15. No Correspondence, Disputes And Refunds

In regarding the distribution of discounts, vouchers, incentives, prizes, awards, or other benefits, no correspondence will be entered into. Moreover, we shall never respond to any complaint or accept any dispute about the Referral Program and the abovementioned benefits. These are provided “as is,” and we never refund or exchange such benefits.

16. Applicable Law

The law of our residence shall apply, and the court is competent to hear any claim that may arise out of these terms.

17. Sales in Authorized Countries Only

You are permitted to promote and share their referral links only in Michigan where MediDuce is authorized to conduct business. Due to legal and tax considerations, products or services purchased from MediDuce Weightloss and Wellness cannot be delivered, resold, or distributed in any other state or foreign country for resale.

18. Conflict of Interests

You are allowed to engage in other affiliate programs or direct sales activities, provided that the products or services being promoted are not in direct competition with MediDuce. An example of a conflict would be promoting other weight loss or wellness services that overlap with MediDuce’s offerings. If a participant is engaged in another program, it is their responsibility to ensure their activities do not interfere with or dilute the MediDuce brand. The promotion of any competing products on MediDuce-related platforms, such as team pages or group pages, is strictly prohibited. Requests for exceptions may be evaluated on a case-by-case basis.

19. Ethical Business Practices

You must conduct yourself in a manner that reflects positively on MediDuce and its services. Deceptive, misleading, or unethical behavior that could harm MediDuce’s reputation is strictly prohibited. Participants must comply with all relevant laws, rules, and regulations, including those related to the marketing, promotion, and sale of MediDuce services. This includes:

• Not publishing misleading or deceptive advertising related to MediDuce.

• Not making statements or claims about MediDuce products that differ from those provided by MediDuce’s official materials.

• Not altering or modifying any MediDuce branding, packaging, or products.

• Not making or linking to online postings that contain offensive, profane, or discriminatory content.

20. Waiver of Right of Publicity

By participating in the MediDuce Referral Program, participants grant MediDuce an irrevocable license to use their name, photo, video, personal story, testimonial, or likeness in promotional materials, including online platforms. Participants waive any rights to remuneration for such use and agree not to inspect or approve the content before it is published.

21. Social Media

21.1 When promoting MediDuce on social media, you must only make claims about MediDuce’s products or services that are supported by official MediDuce literature or listed on the official website.

21.2 You must not imply that MediDuce services are useful for diagnosing, treating, curing, or preventing any disease, illness, or injury unless officially stated by MediDuce.

22. General Conduct

You are expected to uphold the good reputation of MediDuce and avoid illegal, deceptive, unethical, or immoral conduct. This includes:

• Discontinuing the use of MediDuce’s name and intellectual property if their participation in the program is terminated.

• Not implying that MediDuce or its services are endorsed by any government agency or official.

• Avoiding any illegal, fraudulent, or deceptive behavior that could harm MediDuce’s reputation.
